The short version
Noats is free while it is in beta, for personal or work use. You keep everything you record and write — it is on your Mac, not ours.
Recording other people is your responsibility: the law on consent varies by where you and they are, and Noats cannot judge that for you.
It is beta software. We have tested it hard, but it comes without warranty, and you should not rely on it as the only copy of anything that matters.
1. Agreement
By downloading or using Noats you agree to these terms. If you do not agree, do not use it. These terms are between you and Noats, Inc.
2. Licence
We grant you a personal, non-exclusive, non-transferable licence to install and use Noats on Macs you own or control, for your own purposes including your work. Noats is free to use while it is in beta. We expect to keep a free version after that, but the terms of any future paid version will be set out when it exists.
3. Beta software
Noats is a beta. It may contain defects, it may change substantially, and features may be added or removed. We may change or discontinue any part of it. Keep your own copies of anything you cannot afford to lose; exporting a note to markdown takes a keystroke, and the underlying database and audio are ordinary files in your own folder.
4. Recording and consent
Noats records audio, including the other side of your calls. Making sure that recording is lawful is your responsibility, not ours. Rules differ by country and, in the United States, by state: some require only your consent, others require everyone’s. Your employer, your client or the platform you are calling on may impose their own rules on top.
You agree to obtain whatever consent the law and your circumstances require before recording anyone, and not to use Noats to record people covertly where doing so is unlawful.
5. Your content
Your recordings, transcripts and notes are yours. We claim no ownership or licence over them, and we could not act on one if we did: that content stays on your Mac and never reaches us. See our privacy policy.
6. Third-party services
Noats can connect to services we do not run — Anthropic, OpenAI, OpenRouter, an OpenAI-compatible endpoint of your choosing, or Granola’s API for imports. If you connect one, you do so under that provider’s terms and with your own credentials, and what happens to data you send them is governed by their agreement with you. We are not responsible for their availability, output, or charges they bill you.
7. Acceptable use
You agree not to:
- use Noats to break the law, including recording and surveillance law;
- redistribute, sell, sublicense or rent the app, or pass it off as your own;
- reverse engineer or decompile it, except where the law expressly permits that despite this restriction;
- remove or obscure any notice in the software.
8. Updates
Noats checks for updates by default and can install them. You can turn that off in Settings → About. We may stop supporting older versions, and an old version may stop working with services it depends on.
9. Intellectual property
Noats, its name, its logo and its code are ours or our licensors’. This licence gives you the right to use the app; it transfers nothing else. Noats includes third-party open-source components under their own licences.
10. No warranty
Noats is provided as is, without warranty of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that it will be uninterrupted or error-free, or that transcription, speaker separation or written-up notes will be accurate. Automatic transcription makes mistakes. Do not rely on it as a record of what was said where accuracy matters — check it.
11. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data or business interruption, arising from your use of Noats. Our total liability is limited to the amount you have paid us for the software, which during the beta is nothing.
Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. If you are a consumer, you keep your statutory rights.
12. Termination
You may stop using Noats and delete it at any time. We may end this licence if you break these terms. On termination you should delete the app; anything it wrote stays on your Mac and remains yours.
13. Governing law
These terms are governed by the laws of the jurisdiction in which Noats, Inc. is established, and the courts of that jurisdiction have exclusive jurisdiction over any dispute, except where consumer protection law in your country of residence gives you the right to bring proceedings elsewhere.
14. Changes
We may update these terms. The date at the top of this page shows when they last changed, and continuing to use Noats after a change means you accept the revised terms.
